CHARLOTTE, N.C.– (BUSINESS WIRE) – August 21, 2015 – Bank of America Corporation (the "Corporation") filed a Definitive Proxy Statement on Schedule 14A with the U.S. Securities and Exchange Commission (the “SEC”) on August 13, 2015 with respect to a Special Meeting of Stockholders to be held on September 22, 2015.
The Board of Directors called this Special Meeting to ask stockholders to ratify the amendments made to the Corporation's Bylaws in October 2014, which removed the requirement that the Chairman of the Board be an independent director and added provisions contemplating a Lead Independent Director. Shortly before the Corporation's 2015 Annual Meeting of Stockholders, the Board of Directors committed to holding this ratification vote.
