Amsterdam, the Netherlands - (BUSINESS WIRE) - August 11, 2015 - Merrill Lynch B.V.
(MLBV) hereby notifies existing holders of MLBV notes (please see Schedule I) of a planned
internal merger transaction whereby B of A Issuance, B.V. (BofAIBV), a Dutch private
limited liability company, will be merged into MLBV, also a Dutch private limited liability
company. MLBV will be the surviving entity. BofAIBV is a wholly-owned subsidiary of Bank
of America Corporation (BAC). MLBV is an indirect wholly-owned subsidiary of BAC. Subject
to certain Dutch corporate matters, the merger is expected to be completed on or around 1
October, 2015.
After consummation of the merger, all outstanding notes previously issued by BofAIBV
(please see Schedule II) will be obligations of MLBV and all payments on them will be made
by MLBV. In addition, following the merger, the outstanding notes will continue to be
guaranteed by BAC and the paying agents and exchange listings for the outstanding notes
will remain the same.
